Who can source proprietary deal flow for a lower middle market private equity fund?
Stourhead Holdings · Updated 6 October 2026
Short answer
Three kinds of firm can do it: outsourced outreach firms that contact owners under your brand, data platforms that surface targets for your own team to work, and senior-led origination boutiques such as Stourhead that map the market, run the outreach and qualify every opportunity against your written criteria before you see it. The right choice depends on which of three things you are short of: names, conversations, or the senior capacity to judge what comes back.
What proprietary means in practice
A proprietary opportunity is one you reach before a process exists. The owner is not represented, the company has not been shown to other buyers, and the conversation is happening because you started it. Three tests settle it: no banker on the other side of the table at first contact, no competing bidders, and a conversation you started.
That matters because a banker-run process is designed to make you pay for competition. An owner-direct conversation lets fit, timing and structure set the price. It also tends to produce better businesses, because the owners who respond to a considered approach are often the ones who never intended to run an auction.
The three routes, and what each gives you
| Route | What you get | Where it falls short |
|---|---|---|
| Data platforms | A searchable universe, ownership and activity signals, and a CRM to hold it all. | Someone still has to approach the owners, screen the replies and keep the conversations warm. The work moves to your associates. |
| Outsourced outreach firms | Calls and emails to owners under your brand, meetings booked into your calendar. | Quality depends entirely on who reads the replies. Volume can arrive unqualified, and a partner's time is the most expensive thing you own. |
| Senior-led origination boutiques | The mapped market, outreach under your brand, replies screened by people who have done transactions, and counterparties prepared before they are introduced. | Lower volume by design. Built for mandates where each closed deal is worth six figures or more to the firm, and where the cost of a wasted partner meeting is real. |
Stourhead is the third kind. We think it is the right answer for a lower middle market fund with a defined thesis and a small deal team, and the wrong answer for a fund that only needs more names in a database.
What a good origination partner delivers
- A written mandate. Sector, size, geography and situation, agreed before anyone is contacted. Everything downstream is measured against it.
- The mapped universe. Every company that fits, with ownership and the signals that matter: succession, capital need, a change in activity.
- Outreach under your brand. Owners hear from your firm, with your positioning, and the conversation belongs to you from the first reply.
- Senior screening. Replies are read by people who have sat on the other side of a transaction, so what reaches your partners is fit, intent and timing, assessed.
- Preparation. Where a target needs positioning, a data room or quality of earnings support before it is worth your time, that work happens before the introduction.
- Everything handed over at the end. The target universe, the outreach history, the counterparty relationships and the market intelligence stay with you.
How Stourhead runs a buy-side mandate
We work in 90-day cycles. In weeks one and two we define the mandate, set up the infrastructure and draft the messaging. In weeks three and four outreach begins, replies are sorted and market signals are evaluated. Month two is refinement: messaging adjusted to the market's response, introductions started. Month three is scale: our leadership reviews each segment for quality and coverage, and the mandate is widened or narrowed on evidence.
Underneath it sits a live market-data layer: 2.4BN+ data points tracked across 1,000+ industries and 70M+ companies, which is how a narrow thesis becomes a complete universe, including the companies nobody has listed. On top of it sits judgement: 70+ years of investment banking and private equity experience across our senior leadership, applied to every reply. Our team has originated $4BN+ of deal pipeline for buy-side firms on this basis.
Two commitments make the model honest. We cure or replace any opportunity that fails a written criterion. And our fees follow the outcome, so an unqualified introduction costs us as well as you.
What to ask any firm before you sign
- How many owner conversations did you generate for clients in the last twelve months, and how many of those owners were unrepresented at first contact?
- What happened next: how many reached an indication of interest, a letter of intent, a closed transaction?
- Does the same target go to more than one of your clients?
- Who reads the replies, and what have they personally closed?
- What do we keep if we stop after the first cycle?
- What happens when an introduction fails a criterion we agreed in writing?
Assuming the answers hold up, you are looking at a partner. If the answers are about activity, you are looking at a vendor.
Questions we are asked
Does the outreach go out under our firm's name?
Yes. Owners hear from your firm, with your positioning. The relationships belong to you from the first reply, and the outreach history is handed over when the engagement ends.
How is this different from a buy-side broker?
A broker is paid on close and brings you what is already on the shelf. Origination starts from your mandate, maps the whole market that fits it, and builds conversations that did not exist before. The difference shows in what you see: a broker's list, or your own pipeline.
How long before we see qualified opportunities?
Outreach begins in weeks three and four of a mandate. Introductions begin in month two, once the market's response has shaped the messaging. By month three the targeting is being refined on evidence.
What kind of fund is this built for?
Lower middle market funds and independent sponsors with a defined thesis, operating in relationship markets where a transaction is worth seven figures or more and the cycle runs three to twelve months. Volume models serve smaller tickets and shorter cycles.
What do we keep if we stop?
The target universe, the full outreach history, the counterparty relationships and the market intelligence gathered on the way. The mandate is built to be an asset of your firm.
